STARTUP PITCH INDIA OFFICIAL RULES

(the "Official Rules")

1. CONTEST PERIOD:

The Startup Pitch India (the "Contest") begins on July 11, 2017, at 12:00:00 a.m. India time and ends with the announcement of finalists on September 9th, 2017. The Contest consists of time periods as set forth in the chart below:

*Startup Pitch India will announce the qualified Finalists on the contest website on September 3, 2017. The Top Finalists will be notified via email and asked to provide a second-round submission, due on September 5, 2017. Startup Pitch will announce the Winners on September 9 th , 2017.


2. ELIGIBILITY:

The Contest is open to only for-profit small businesses (as defined herein) which at the time of entry have been in continuous operation for not less than 10 months and not more than ten (10) years by legal residents of India who are independent owners/operators. In order to be considered an eligible "Small Business” for purposes of this Contest, the business must meet all of the following criteria:

  1. Entrant must be registered in India with Registrar of Companies of India and entrant must provide a valid CIN Number during registration to send their entries.*
  2. Owner/operator must be at least twenty-one (21) years of age at the time of Submission;
  3. Owner/operator must be an authorized agent of the registered business and have the authority to legally bind the company, including (without limitations) to the terms and conditions of these Official Rules and to any other required documentation as contemplated in these Official Rules;
  4. Owner/operator must be an authorized agent of the registered business and have the authority to legally bind the company, including (without limitations) to the terms and conditions of these Official Rules and to any other required documentation as contemplated in these Official Rules;
  5. The small enterprise must have completed minimum 10 months and not more than 10 years of operations in India;
  6. The entry must pertain to only the Indian operations of the small enterprises;
  7. An Organization cannot participate on behalf of its sister units, subsidiary (ies) and/or any group entity;
  8. Employees and vendors of NSN, ABEC, ITE and NNM, sponsors and partners of the Contest are not allowed to participate in the Contest;

The owner/operator or representative is not the entrant and has no right to claim any prize or a portion thereof. The Entrant in this contest is a Small Enterprise.

Startup Pitch shall determine, in its sole discretion, whether an entry meets the eligibility criteria to participate in the Contest. Startup Pitch India decisions regarding eligibility and all other aspects of the Contest are final and binding.

Businesses operated by Startup Pitch, its parent and affiliated companies, and each of their respective officers, directors, employees, agents and persons engaged in the development, production or distribution of materials for this Contest (collectively, the “Contest Parties”) and the immediate family members (i.e., parent, child, sibling, and spouse) of each and/or persons living in the same household of such individuals (whether related or not), as well as employees, agents, officers and representatives of any government department, government owned entity, juristic person funded by any government department, political party or public international organization, or any candidates for political office are not eligible to participate in the Contest. This contest is subject to all applicable Indian laws and regulations, and is void in all other geographic locations and where otherwise prohibited by law.

*If your company is not registered, CoKaCo will register it in 10 working days.

3. HOW TO ENTER:

To enter the Contest, participants (“Entrants”) are required to visit the Contest website located at www.startuppitchindia.com (the “Contest Site”) and submit an entry (the “Entry”) between July 11, 2017 and August 18, 2017. Entrants will be required to provide responses to the following:

  • Tell us about your business, what products you sell and what services you offer. (140 characters)
  • Tell us what inspired you to start your business; what makes your business stand out and how it impacts you, your community or the environment and your hopes, dreams and plans to go global. (500 characters)
  • How would you use the investment to make a significant impact on growing your business and take it to the next level of success? (500 characters)

In addition to answering the questions listed above, each Entrant will be required to submit the following information:

Startup Pitch will only accept one (1) entry per business. If there are multiple entries per participant, the earliest entry will be taken as the valid entry and other entries will be void.

All entries are subject to approval by NNM NextGen Advisory, in NNM NextGen Advisory sole discretion. Once approved, entries will be posted on a Gallery Page on the dedicated Contest Site and Entrants will receive an email with a link to their grant submission on the gallery page, and are encouraged to share this link with customers, friends and family during the Sharing Period as described below. Entrants will receive an email within four (4) business days if their entry has been rejected.

Except where prohibited by law, entry in the Contest constitutes each Entrant’s consent to the publication of her/his/its name, organizational information, any portion of the completed Entry, including digital images, and photos and footages taken by Startup Pitch during any events hosted by Startup Pitch as part of the Contest in any media for any commercial or promotional purpose (including, without limitation, the Internet) without further consent or compensation.

By entering the Contest and providing an email address, each Entrant grants Startup Pitch permission to send Entrant emails related to the Contest, including, but not limited to notification of Finalists, Winners and a follow-up email in order to gather feedback regarding the Contest to be used in the planning and design of future Contests. Unless otherwise advised by the participant, each participant consents to the information they submit being entered into a database which may be used by Startup Pitch in any media for future promotional and publicity purposes.

4. CONDITIONS

We are promising to distribute the prize of Rs. 1 crore (Rupees One Crore) or above against equity for the startups participating in “START UP PITCH” event only if certain conditions are satisfied as mentioned below:-

  • a. The START UP PITCH event is undertaken by us which will be held on 9 th September 2017 have the registration fees of Rs.3000/- (non-refundable).
  • b. Startup Pitch Event is promising to distribute the funding of at least Rs. 1 crore (Rupees One Crore Only) or above against equity to at least 1 project or more has be selected from the participants shortlisted.
  • c. Start up pitch Event is only held liable to pay the distribution prize of at least Rs. 1 crore (Rupees One Crore Only) against equity for START UP PITCH event, only if there is a minimum 100 registrations for START UP PITCH event else the award price can be less than Disclosing prize Rs.1 crore (Rupees one crore) and no such issue will be raised by anyone regarding such funding whoever will be registered with us
  • d. Startup Pitch Event is not held liable to pay the disclosing price of Rs. 1 crore if certain conditions are not fulfilled and we are not bind to answer anyone

5. DIGITAL IMAGERY AND VIDEO CRITERIA:

Digital images and business logo must be in one of the following formats: .jpg, .png or .gif. Each digital image (including business logo) may not exceed 5MB. The optional video must be uploaded to YouTube and the share link added to the entrant profile. It may not exceed one (1) minute in length.

If any digital image or the video contains any material or elements that are not owned by the Entrant and/or which are subject to the rights of third parties, and/or if any persons appear in the image, the Entrant is responsible for obtaining, prior to submission of the photograph or video, any and all releases and consents necessary to permit the exhibition and use of the image or video in the manner set forth in these Official Rules without additional compensation.

If a professional image or video is submitted, Entrant is responsible for securing usage rights from the photographer or videographer to reproduce, distribute, display, and create derivative works of the image in connection with the Contest and promotion of the Contest, in any media now or hereafter known.

Upon Startup Pitch request, each Entrant must be prepared to provide (within seven (7) calendar days of receipt of Startup Pitch request) such signed release from all persons who appear in the photograph or video submitted, authorizing Startup Pitch and its licensees ("Authorized Parties"). Failure to provide such releases upon request may result in disqualification at any time during the Contest and selection of an alternate Winners.

6. JUDGING PERIOD:

During the judging period, all the successful submissions will be judged by Startup Pitch or its designated representatives and narrowed down to Top 20 Finalists. Startup Pitch will consider the following in determining the finalists:

  • Clear, compelling and engaging business stories and inspirational voice
  • How Entrant proposes to use the Grant money
  • Entrant's inspiration to grow the business
  • Financial performance of business
  • Number of eligible votes that the Entrant received during the voting period

Extra credit will be given for those Entrants exhibiting any of the following elements:

  • Unique or innovative product or service offering
  • Sustainability/environmentally friendly business
  • Positive impact on the community
  • Awards and Certifications

Startup Pitch will announce the Top Finalists on the contest website on September 3, 2017. Startup Pitch reserves the right to alter the number of Top Finalists for any reason, including, but not limited to, not receiving a sufficient number of eligible entries to determine the same.

The Top Finalists will be notified via email & call with instructions for completing a second submission which consists of answering questions, and submitting documents including, but not limited to:

  • Every business has a unique story to tell - what is yours that reflect your passion as an individual and business owner, and how is that passion reflected in your business and helps in realizing your business dream of going global?
  • Last 1 year’s audited financial statements
  • What were the challenges faced and how did you overcome them?

The second submission must be submitted to Startup Pitch by September 8, 2017. Failure to submit the second submission by the stipulated date may result in a Finalist’s disqualification in the running for the Contest.

The judging panel will evaluate the Entries along with the second submissions of each of the Top Finalists to determine the Winners. Additional elements to be considered will be how well the Entrant’s brand aligns with the Startup Pitch and whether the Owner is prepared to be an Ambassador or mentor to other businesses.

The finalists will then be invited to present to an independent judging panel. The finalists will be given 5 minutes to present their pitch followed by a 5 minutes question answer session. The judging panel will evaluate and discuss based on pre-determined parameters to arrive at the Winners.

The Winners will be announced on September 9, 2017. The Winners will be notified by email and phone call prior to the announcement. In addition, Winners may be featured on the Startup Pitch India Facebook Page and/or other Startup Pitch owned digital and social channels and in Startup Pitch media release.

7. GRANT ACCEPTANCE AND TAX LIABILITY:

The Grant is non-transferable. All details of any prize not specified herein shall be determined solely by Startup Pitch. By accepting the Grant, the Winners acknowledges compliance with these Official Rules. All tax liabilities arising from this Contest are the sole responsibility of the Winners and entrants, respectively including any tax reporting requirements. Limit of one Grant per Entrant. All other expenses relating to acceptance of the Grant, including but not limited to taxes and any other expenses not specified herein are the sole responsibility of each Winners and entrants. Grant conditions may be added or modified by Startup Pitch, in its sole discretion. Acceptance of the Grant constitutes permission for Startup Pitch and its designees to use each Winners’s name, entry material, photographs and digital images and biographical information for advertising, promotional or trade purposes, including but not limited to online announcements, in commerce and in all media worldwide without limitation or additional compensation, except where prohibited by law.

Winners may waive its right to receive the Grant. The Grant is non-assignable and non- transferable. No substitutions may be made by the Winners. Startup Pitch shall withhold taxes from any award as is required by law and Startup Pitch shall award the Winners with the net Grant amount. If there is any expense incurred by Startup Pitch for this withholding and tax reporting requirements, the Winners and entrants shall reimburse these expenses to Startup Pitch . Winners will be required, as instructed by Startup Pitch, to complete and sign (i) an affidavit of eligibility/liability certifying that such Winners has complied with the Official Rules of the Contest, and (ii) a liability and publicity release (except where prohibited by law). Failure to sign and return any of these documents or to comply with any term or condition of these Official Rules may result in a Winners’ disqualification, the forfeiture of its interest in the Grant, and, at Startup Pitch discretion, the presentation of the Grant to a substitute recipient. A Grant not won and/or claimed by Winners and not awarded to a substitute recipient by Startup Pitch in accordance with these Official Rules will remain the property of Startup Pitch.

Payment of and fees due, if any, are the sole responsibility of the Winners.

8. DISQUALIFICATION:

Should Startup Pitch determine, in its sole discretion, that any Entrant has violated any of the prohibitions contained in these Official Rules or should be disqualified for any other reason,

Startup Pitch shall have no obligation to award a Grant to such Entrant. Startup Pitch reserves the right, in its sole discretion, to disqualify any Entrant it finds to be tampering with the entry process or the Contest; to be acting in violation of these Official Rules; or to be acting in an inappropriate or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.

Submitted Entries must be consistent with the Startup Pitch India, and Startup Pitch reserves the right, in its sole discretion, to reject and/or disqualify any entries, subjects, or related materials that Startup Pitch deems to be obscene, defamatory, profane, offensive, lewd, pornographic, false, misleading, deceptive, or otherwise inconsistent with its editorial standards, audience expectations, or reputational interests or that Startup Pitch believes may violate any applicable law or regulation or the rights of any third party or may subject the contest, Startup Pitch , or Startup Pitch advertisers, clients, or customers to controversy, negative publicity, scorn, or ridicule.

As a condition of entry, Startup Pitch reserves the right to conduct a background check on any potential finalist and/or Winners and reserves the right in its sole discretion to disqualify any entrant based on such background check if in its sole discretion, the Startup Pitch determines that awarding the prize to such Entrant might reflect negatively on the Startup Pitch image and/or reputation.

9. COMPLETION OF ENTRIES:

  • All mandatory fields in the application form need to be filled in all respects; else it will be disqualified from participation;
  • Entries will be accepted in English language only;
  • Disqualification of any entries is at the sole discretion of the Startup Pitch;
  • Absence of a nominee or representative of the Entrant during the judging panel will automatically lead to disqualification of that particular entry;
  • If at any time, during the Awards process or post the Award ceremony any information provided by any Entrant is found to be incorrect in any manner, then the Entrant will be either disqualified from participation or liable to return the award and any monetary / non-monetary incentives provided as part of the Award, if won.

10. ADDITIONAL INFORMATION:

  • Entrants may be contacted for any additional information or / and conduct field visit to verify the information provided. Such additional information sourced from the Entrant(s) will become part of the original application;
  • Startup Pitch or its designated representative has the right to ask for documentary proof of information / audited financial data / audit the information provided. If such a request is made and the Entrant does not comply with it promptly; the Entrant may be disqualified from participation in the Awards;
  • Information provided by the Entrant will be used only for the limited purpose of evaluating the Entrant’s entry to the contest and, for the specified purpose as agreed to in the Declaration Form;
  • Startup Pitch or its designated representative will try to contact the Entrant on best effort basis by any means deemed appropriate;
  • In the event it is not possible to contact any Entrant to obtain information on them, interview them, etc. such Entrant may be disqualified from further participation.

11. INCORRECT INFORMATION:

  • If at any time, any information provided by any Entrant is found to be incorrect in any manner, then the Entrant will not be permitted to continue participation for that particular entry in the Awards, and Startup Pitch will not be liable to return any materials to such disqualified entry;
  • If, after the conclusion of the Awards ceremony, any information provided by any Entrant is found to be incorrect in any manner, the Entrant will be liable to return the Award and any monetary / non-monetary incentives provided as part of the Award;
  • All Entries are subject to verification, including without limitation, verification of eligibility through checks as deemed appropriate by Startup Pitch or its designated representative and complete compliance with these Rules and Regulations. Startup Pitch has the sole right to disqualify any entry if it is not in compliance with the Rules and Regulations herein specified or any further applicable laws, regulation/ or any policies that may be specified by the Startup Pitch.

12. GENERAL RELEASE/LIMITATION OF LIABILITY:

  • By participating in the Contest, each Entrant releases and holds Startup Pitch , its parent and affiliate companies and each of their directors, officers, employees, representatives, and agents harmless from and against any claims, costs, injuries, losses or damages of any kind arising out of or in connection with the Contest or with the acceptance, possession, use of or defect in any Grant (including, without limitation, claims, costs, injuries, losses or damages related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light). Startup Pitch is not responsible for any incorrect or inaccurate information, whether caused by technical or human error or otherwise which may occur in the processing of entries or voting in this Contest or in the running of this Contest. Startup Pitch will not be responsible for typographical, printing or other errors in these Official Rules or in other materials relating to the Contest. Receipt of application forms after the specified last date of receipt may be permitted only for genuine reason at the discretion of the Awards Management/Judging Panel. Participation in the Awards in any manner will be construed as an acceptance to the Rules and Regulations stated herein.
    • If for any reason, the Contest is not capable of running as planned, including but not limited to by reason of fraud, computer virus, worms, bugs, tampering, unauthorized intervention, technical limitations or failures, human error, mistake or any other cause that in the sole opinion of Startup Pitch could compromise, undermine, corrupt or otherwise affect the security, integrity, fairness, administration, or proper conduct of this Contest, Startup Pitch reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Contest at any time and without notice.
    • Startup Pitch reserves the right to require the Winners(s) to execute a certificate of eligibility prior to awarding the Winners(s) with the prize, confirming that the Winners is not excluded from entry into this Contest pursuant to these Official Rules and that the Winners(s) has complied fully these Official Rules. Truthful completion of this certification is a precondition to the award of the rewards.
    • In the event of any discrepancies with respect to this Contest, Startup Pitch decision is final and no other further correspondence will be accepted. Startup Pitch will not be obliged to award the rewards if it is contrary to any applicable laws or regulations.
    • Notwithstanding anything set forth above, to the extent that the preceding release is determined by a tribunal of competent jurisdiction to be invalid, unenforceable or void for any reason, each Entrant agrees that, to the fullest extent permitted by law (i) any and all disputes, claims, and causes of action arising out of or in connection with the Contest, or any awards awarded shall be resolved individually without resort to any form of class action.
  • While the Startup Pitch will make all attempts to call for entries, there is a possibility of missing potential Entrants due to the fragmented spread of the industry in India. Startup Pitch will not be held liable for the same;
  • Entrants shall be solely responsible for any consequences which may arise due to their actions of infringement of intellectual property rights belonging to any other person /entity, etc. and undertake to indemnify Startup Pitch, its Directors, Officers, Employees, etc. on the happening of such an event (including without limitation cost of Attorney, Legal Charges, etc.) on full indemnity basis;
  • The short-listing of the entries and selection of Winners process is not subject to review by any Entrant. Startup Pitch will not entertain any communication, whatsoever, in this regard from any Entrant;
  • Startup Pitch will not be liable for any claims / disputes made by the Entrants, nominees or Winners in relation to the Contest or any aspect thereof;
  • Startup Pitch reserves the right to withdraw and/or amend the terms of the Contest at any time and does not take responsibility for any loss or damage that any person or organization may suffer because of participating or attempting to participate in the Contest, if the Contest is withdrawn or its terms amended. If during the course of the Contest, it is discovered that an entry/Winners has a dispute registered against Startup Pitch in a court of law it would not be held liable for, as Entrant has registered the Registration process and participate in Startup Pitch Event by referring to all the rules and regulations of Startup Pitch Event and Startup Pitch reserves the right to declare that entry/Winners is ineligible and/or withhold any Award until the dispute is resolved by Arbitration and the decision of the panel of Start Pitch will be final on such disputes created by Entrant;
  • The Entrants, nominees and Winners agree that they shall hold harmless Startup Pitch Event and sponsors, their employees, officers, associates or other persons and shall defend them against any loss, claims, demands, costs, damages, judgments, expenses or liability arising out of or in connection with any or all claims that may be brought against Startup Pitch by any third party in connection with participation in or winning the Contest;

Startup Pitch reserves the rights to amend these Official Rules at any time without notice.

13. CONSTRUCTION, WAIVER, AND DISPUTE RESOLUTION:

The construction, validity, interpretation and enforceability of these Official Rules, and all issues and questions relating thereto, along with the rights and obligations of all Entrants and of Startup Pitch, shall be governed by, and construed in accordance with the laws of India, without giving effect to any choice of law or conflict of law rules or provisions. All disputes relating to or arising out of the Contest or these Official Rules shall be subject to the laws of India, and shall be subject to the exclusive authority of the courts of competent jurisdiction at Mumbai, India. If any provision is determined to be invalid or otherwise unenforceable, such determination shall not affect the validity or enforceability of any other provision, and these Official Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.

Any specific waiver of any obligation hereunder by Startup Pitch does not constitute a general waiver of that obligation nor of any other obligation of Entrant.

14. STORAGE OF BUSINESS/PERSONAL INFORMATION:

By participating in the submission process for this Contest, Entrant and each representative of Entrant consents to their personal/business data collected in connection with this contest being transferred to and stored in India.

15. WINNERS LIST:

The name of the Winners may be obtained during the contest following the end of the Contest on September 9, 2017, by visiting this url: www.Startuppitchindia.com
